1. Combine caramels and 1/3 C milk. Cook over low heat until melted.
2. Grease and flour 9x13 pan.
3. Combine cake mix, butter, 1/3 C milk, and nuts. By hand, stir until dough holds together. Press half into pan. Bake at 350* for 6 minutes.
4. Sprinkle chocolate chips over baked crust. Spread caramel mixture over chips. Crumble rest of dough over pan.
5. Bake at 350* for 15-18 minutes.
6. Cool slightly, then refrigerate 30 minutes. Cut into small pieces and store in cool place.
